Christopher Haug

CEO, Co-FOUNDER

Dear Valued Shareholders,

Flight Ventures Aviation Academy, Ron, and I are honored to have you onboard with us. We are thankful for your trust, financial support, and dedication to helping us change the Flight Training Industry, and launch Flight Ventures Aviation Academy through Flight Ventures USA.

Flight Ventures Aviation Academy was founded on the belief that flight training should reflect real-world experience and not just what's required legally to become a pilot. We have crafted a program that incorporates real-world conditions and experiences, enabling students to leave us with the highest skills within the industry and the training required by Major Airlines and the Corporate Aviation world.

Since our inception in September 2022, we have experienced both struggles and growth. Thanks to your generous support, when we first opened our doors at our French Valley Facility, we started with one Airplane, one Helicopter, and one Flight Instructor. Over the past two years, we have grown to have five single-engine aircraft and five helicopters in our fleet.

We currently have Ten Flight Instructors, Military Veterans who have served in the United States Marine Corps, Air Force, Army, and Navy, three office staff, and two full-time mechanics to help maintain our growing Fleet. Last week, we acquired our first Twin-Engine Aircraft, allowing us to expand our offerings to include a Multi-Engine Training Program that will entice students from all over the country to come and train at our state-of-the-art facility. Our ability to now use Las Vegas Flight Academy's ATP/CTP program positions us well in the current market.

Another milestone for us is the addition of our new Chief Pilot, David Holdstein. David is Delta Airlines' Training Captain, a Retired 29-year United States Marine Cobra Attack Helicopter Pilot, an F18 Fighter Pilot, a USMC Helicopter Training Commander, and a former Executive Officer of Miramar Airbase in Southern California. His assistance and leadership have proven invaluable during these growing pains we have been experiencing.

Over the last 12 months, I have been engaging with law enforcement agencies in all the surrounding counties. I am pleased to announce that we now have six Sheriff and Police Aviation Cadets currently training under our new Law Enforcement Helicopter Training Program. We have successfully graduated three Cadets and secured our relationship with Riverside Police Department Air Unit, Riverside County Sheriffs Department Air Unit, San Bernardino Sheriffs Air Unit, California Highway Patrol Air Unit, Orange County Sheriffs Air Unit, and Los Angeles County Fire Department Air Unit. We are working closely with them to meet their specific mission needs and build out additional training programs such as Night Vision Training, Long Line Training, High Altitude/Mountain Training, and Human Extraction Training.

We are scheduled to receive an additional helicopter next month to help service our Law Enforcement partners and our newly received FAA Authorization to offer Helicopter Wine Tours of the Temecula Valley. This Letter of Authorization from the FAA took two years to secure, and now, starting in April, we will be offering Wine and Coastal Helicopter tours under this new permit.

Our financial struggles have been extremely challenging, especially given the growth rate we have managed over the last two years. On the horizon for the next year is to secure our FAA Part 141 License, which will allow us to receive Military funding through the GI Bill and partner with local colleges that require a flight school to be FAA Part 141 Certified.

The future relationship with a College will also allow us to offer Federal Financial Aid to students, opening up a whole new stream of students for us.

I have been working non-stop since our opening, fighting the battles to excel, achieve a reputation, and secure our industry growth. Ron and I have not drawn a salary or compensation this entire time as we want to give us the best chance at success and put every penny into the growth and expansion of Flight Ventures Aviation Academy. Both Ron, myself, and my wife have taken out extensive personal loans that helped fill those times when the money was needed to sustain us and continue our growth.

It has been my life's mission to change how our industry trains commercial pilots, with safety and integrity at the forefront of everything we do. As such, I am personally involved in all of our students' aviation journeys. I maintain an open-door policy and physical presence at our facilities, ensuring my ongoing availability and support for our staff and students. We walk together on this journey, and you can rely on my unwavering dedication and commitment to our success.

I would love to schedule a meeting with all of you and further this conversation about where we are, where we've been, and where we're going. I would also love to show you what we have built together.

I will make it a point to reach out to all of you every quarter to give you updates on how we are doing. Thank you again for your support. We are close to finally being able to be on the positive side of finances.
